The terms and conditions contained herein alongwith the Privacy Policy form an Agreement regulating our relationship with regard to the use of ONLINE REGISTRATION SERVICE by you. You are advised to read this Agreement carefully. If you are not agreeable to any terms and conditions, you should not use this service. You can use the Online registration services if you are agreeable to all the terms and conditions of this Agreement in their entirety. If you accept this agreement, it will be a legally binding agreement between you and CITIZEN INFOLINE LTD

Definitions:

"Agreement" means the terms and conditions as detailed herein including all schedules, appendices, annexures, Privacy Policy, and will include the references to this Agreement as amended, novated, supplemented, varied or replaced from time to time."

"ONLINE REGISTRATION SERVICE"/ "Site" means the online registration platform owned and operated by Citizen Infoline Ltd. ("Citizensindia.com"), which provides a venue to the users of Citizensindia.com to buy the products listed on site.

"Advertiser" / "Member" shall mean the person or any legal entity who accepts the offer for sale on ONLINE REGISTRATION SERVICE by placing an order for and or purchases any products offered for sale on site.

"User"/ "You" means and includes you and/or any person or an entity using or accessing the services provided on this Site.

Eligibility:

You represent and warrant that you are competent and eligible to enter into legally binding agreement and have the requisite authority to bind the other party to this Agreement. You shall not use this Site if you are not competent to contract under the applicable laws, rules and regulations.

Term of Agreement/Service:

This Agreement shall continue to be in full force and effect for so long as you are using the ONLINE REGISTRATION SERVICE. Citizensindia.com provides the online platform wherein the Users can purchase/buy the products listed on site (the "Services") pursuant to the terms and conditions set forth below. By clicking on the [Submit] button, you are agreeing to use the Services in a manner consistent with and abide by the terms and conditions of this Agreement, our Privacy Policy, and with all applicable laws and regulations. However, Citizensindia.com reserves the right, in its sole discretion, to terminate your access to the ONLINE REGISTRATION SERVICE and the related services or any portion thereof at any time, without notice.

This Contract is between Citizen lnfoline Ltd. herein after referred to as Citizen ("“CITIZEN”s') which term includes it's successors or assigns) and
Advertiser/Member shall come into existence from the contract date when listed online, when the advertiser/member either by himself or through his authorized agent or servant subject to the terms contained herein and on the Contract Form.

PAYMENTS : The Advertiser/member agrees to pay 'Citizen' Full and final payment mentioned immediately registering contract online.
a. All payments to be paid in favour of "Citizen lnfoline Ltd." by Alc pay cheques or D.D. only. There is also an option to pay by Credit Card. Terms & Conditions of Credit Card Policy will be applicable.
b. The Contract will be cancelled immediately in case return of any cheque. It is distinctly understood in case of installment contract, that 'Citizen' reserves the right to print advertisement worth, what ever amount cleared or forfeit the paid Amount & In case of infoline registration contract will be freezed immediately or tenure of service will be reduced according to the amount received.

“CITIZEN” reserve rights to cancel the contract upon non payment of any charges due.

AMENDMENTS | ALTERATION : If the advertiser/member wishes to alter or amend the text and content of the advertisement material or advertisement itself or there is change in any classification for infoline service in any form whatsoever, will be permitted to do so at any time prior to sales closing date of particular edition in case of YP and in case of infoline before the expiry date of contract will be applicable. However, it will be the sole responsibility of the advertiser/member to inform the “CITIZEN” in writing about changes in telephone number(s) or address if any before sales closing date of the particular edition in cases relating to YP advertisements.

For infoline services if the Member wishes to alter or amend the text and content of the information in any form whatsoever he will be permitted to do so at any time during the tenure of the contract subject to the following terms and conditions :

i) The said amendment/alteration is received in writing duly signed by an authorised person or by mail from the mail address submitted or registered at the time of online registration.

ii) An amendment fees of Rs. 250/- to be paid along with the amendment letter.

iii) Amendment can be done only for the product/category in which party is registered, a new category can be added/inserted later on by paying necessary fees.

CANCELLATIONS : Once registered cancellations are not allowed and the amount paid is non refundable.

Citizen RIGHTS :

a) “CITIZEN” shall endeavour to position the advertisement of the Advertiser/member in the Business category mentioned at the time of listing but reserves the following rights.

1. Change all or any listing and classification when necessary to confirm to the “CITIZEN”'s practices.

2. From time to time and without notice make the changes in heading of business category, Which in the sole judgement of “CITIZEN” will best serve the CITIZEN'S YELLOW PAGES or its Services.

3. To place advertisement on any page and in any position on a page in CITIZEN'SYELLOW PAGES without guarantee as to definite position.

4. To reject the advertisement at any time, if in the discretion of the “CITIZEN”, the advertisement contains any matter which may be of an illegal,libellous or immoral nature or does not confirm to the requirements of any law governing publication of the advertisement.

5. To extend or reduce the life of the CITIZEN'S YELLOW PAGES or INFOLINE SERVICES

6. To abbreviate name, address and/or text of the advertisement with prior notice to the advertiser/member.

b) “CITIZEN” shall not be liable to return the artwork | bromides | dummies/ film positive etc. given by the advertiser/members for printing of advertisements.

c) “CITIZEN” shall be free to sell the CITIZEN'S YELLOW PAGES to any person at such price and place as may be determined by “CITIZEN”, from time to time.

d) To reject the advertisement at any time (without interest), if the advertisement cannot be fitted in the existing business categories and a new Business Category cannot be opened for the advertisement for want of response. The decision of the “CITIZEN” in this regard shall be final and binding on the advertiser/member.

(e) Delete any product classification, if party found not dealing in the same.

ADVERTISER/MEMBER'S WARRANTIES AND DECLARATIONS : The Advertiser/member declares and warranties as follows :

1. The Advertiser/member is the owner or duly authorised agent and/or representative of the productslservices to be Advertised/Listed.

2. The Advertiser/member is authorised to use the Trade Mark/s that appear in the Advertisement/Listing.

3. The Advertisement material to be published in CITIZEN'S YELLOW PAGES or to be listed in infoline call centre does not in any way infringe other's proprietor or rights of copyright, patent, design or trade mark.

4. The statements/representations made by him in the Advertisement/ Listing are not designed or calculated to mislead or discredit competitor's products or services and do not exaggerate any claim / product.

5. The matter contained in the Advertisement/Listing does not violate any applicable law.

6. Any form of guarantee(S) expressed by the Advertisement is are specific and provable.

7. The advertisement/Listing confirms to Code of Advertising Standards Council of India.

8. All necessary sanction for publishing the Advertisement/Registration in call centre are obtained prior to entering into the contract.

9. The contents l artwork / dummies/ sketches /bromides/texts were checked for their correctness before they were forwarded to the “CITIZEN”.

10. Member Acknowledgements for Infoline call centre listing

- The said subscription & payment made is with my full consent under no obligations for refunds.
- The following membership details given on the contract form is correct to the extend of my knowledge.

- Services to my registration will be activated within 3 days of payment realization.
- Additional information about my company, over & above contract details shall be within 300 alphanumeric characters.
- Feedback service is available Free of Cost for the first year of initial registration.
- Citizen’s iNFOLINE will disseminate information of my company registered under the said category each time for Diamond Listings and in Cyclic Pattern for Priority Listing under the specific area(s) I have signed for & that the response rate shall depend on market demands.
- I shall receive Inquiries where my company name had been suggested to a prospective customer & that the conversion shall be done to my capacity.
- Services to my contract can be withdrawn by Citizen iNFOLINE Ltd.during the tenure under unexplained circumstances during which I shall get a proper refund of the paid amount on a pro-rata basis for the remaining period with 10% interest per annum.
- This subscription is valid for the said category & area(s) only, for each new category & area the subscription charges will be on actual which is payable at the time of subscribing for the same.

FUTURE ISSUES : The Advertiser/member hereby authorises the “CITIZEN” to print the whole or any part of the information contained in the advertisement in all or any of the future issues as the “CITIZEN” may deem fit.

The Advertiser/member hereby authorises the “CITIZEN” to use the information contained in the advertisement for maintaining its database as well as for any other purpose that the “CITIZEN” may deem fit.

ADVERTISER/MEMBER'S RESPONSIBILITY TO SUBMIT ADVERTISEMENT MATTER : It shall be the duty and responsibility of the Advertiser/member to submit the full advertisement matter or design & artwork to the “CITIZEN” promptly, failing which, the “CITIZEN” will not be liable to print the Advertisement or start infoline call centre service.
 
FORCE MAJEURE : “CITIZEN” shall not be liable for non-performance here of it and to the extend caused by occurrences beyond its control, including but not limited to, acts of God, decrees or restraints of Government, strikes, or other labour disturbances, change of law,refusal on the part of the Government, Government Agencies, Bank or other competent authority to grant any necessary permit or in the event of any other supervening clause rendering performance of any of the obligations in accordance with the liberal interpretation of the doctrine of frustration of contracts.

JURISDICTION AND ARBITRATION :

Applicable Law

This site is created and controlled by Citizensindia.com in AHMEDABAD, India; as such the laws of India shall apply; courts in AHMEDABAD shall have jurisdiction in respect of all the terms, conditions and disclaimers. Citizensindia.com reserves the right to make changes to the site and the terms, conditions and disclaimers.

All disputes arising out of this contract shall be referred to Arbitration in accordance with the Indian Arbitration Act. 1940. The jurisdiction for all disputes will be at Ahmedabad.

Registration Data:

To avail of and use the Services you will have to register with ONLINE REGISTRATION SERVICE. As a part of registration process you agree to provide www.citizensindia.com current, complete, and accurate registration information (the "Registration Data") as prompted to do by the Service and to maintain and update this information as required to keep it current, complete and accurate.

If you provide any information that is untrue, inaccurate not current or incomplete or Citizensindia.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Citizensindia.com has the right to indefinitely suspend or terminate your membership and refuse to provide you with access to ONLINE REGISTRATION SERVICE REGISTRATION PROCESS.

You shall be responsible for maintaining the confidentiality of your confirmation number, which you will not be under an obligation to reveal to any representative or agent of Citizensindia.com.

You agree and understand that ONLINE REGISTRATION is advertising supported and you grant Citizensindia.com the right to disclose the aggregate Registration Data to third parties in connection with marketing the Services. Furthermore, you agree and grant Citizensindia.com the right to use your individual Registration Data to provide targeting of advertisements and other Service offers.

You shall notify support@citizensindia.com for any known or suspected unauthorized use(s) of your registration, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your Listing/Advertisement.

Electronic Communication:

Users consents to receive communications from Citizensindia.com electronically. Citizensindia.com will communicate with Users by email or by posting notices on the Site.

Online Registration Platform :

You agree, understand and acknowledge that www.citizensindia.com is an online service platform, a venue enabling the users to buy any product listed on site at the price indicated on the terms and conditions indicated therein at any time from any place.

You further agree and undertake that you are accessing the services available on this Site and transacting at your sole risk & judgement and are using your best and prudent judgment before entering into any transaction through this Site.

The Site is a channel of communication whereby the Users can reach a larger base to buy and sell items or services. www.citizensindia.com is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Seller and the Buyer. At no time shall any right, title or interest over the items vest with www.citizensindia.com nor shall www.citizensindia.com have any obligations or liabilities in respect of such contract. www.citizensindia.com is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of maintenance of site.

www.citizensindia.com accepts no liability for any errors or omissions, whether on behalf of itself or third parties.

All orders shall be pre-approved with an acceptable method of payment as established by www.citizensindia.com which may call for and require additional verification or information.

The address at which the business is registered by you are to be made should be correct and proper in all respects.

After the receipt of payment from the Advertiser/Member, we shall arrange for the required artworks and confirmation to the Advertiser/Member at the business address provided or by call or e-mail mutually agreed.

Any and all orders placed by you on this Site are a firm commitment to purchase and you are obligated to complete the transaction and not contest it in anyway.

Before placing an order you are advised to check the product description carefully. By placing an order for a product you agree to be bound by the conditions of sale included in the item's description.

Credit card details

You agree, understand and confirm that the credit card details provided by you for availing of services on www.citizensindia.com will be correct and accurate and you shall not use the credit card which is not lawfully owned by you. You further agree and undertake to provide the correct and valid credit card details to www.citizensindia.com. Further the said information will be not be utilized and shared by www.citizensindia.com with any of the third parties unless required by law, regulation or court order.

Confirmation:

You understand, declare and agree that:.
• You release and indemnify www.citizensindia.com and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Users of the Site and specifically waive any claims that you may have in this behalf under any applicable law. Notwithstanding its reasonable efforts in that behalf, www.citizensindia.com cannot control the information provided by other Users which is made available on the Site

Suspension due to non-compliance with Agreement:

Notwithstanding other legal remedies that may be available to www.citizensindia.com, www.citizensindia.com may in its sole discretion limit User activity by immediately removing User listing either temporarily or indefinitely or suspend or terminate User membership, and/or refuse to provide User with access to the Site:

• If the User is in breach any of the terms and conditions of this Agreementand/or the Terms and conditions of usage of www.citizensindia.com;
• If the User has provided wrong, inaccurate, incomplete or incorrect information;
• If your actions may cause any harm, damage or loss to the other Users or www.citizensindia.com. Illegal and/or unauthorized use of the Service, including unauthorized framing of or linking to the Site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal and injunctive redress.


INDEMNITIES : The Advertiser/member's agress to defend, indemnify and hold harmless the “CITIZEN” from any loss, damage, cost and expenses caused to the “CITIZEN” by reason of publishing Advertiser/member's advertisement and including but not limited to :

1. Breach of any of the terms of contract.

2. Any false warranties/declarations made by the Advertiser/member to the “CITIZEN”.

3. Any third party claims affecting the “CITIZEN”'s rights.

The Advertiser/member agrees to and does hereby indemnify the “CITIZEN” from all costs and proceedings, claims and demands of and description whatsoever (including agency fees and solicitor's costs and court fee, if any) in the event that it becomes necessary for the “CITIZEN”, to institute or defend legal proceedings of any nature in anyway enforce its rights in respect of application.

User agrees to defend, indemnify and hold harmless SERVICE, Citizensindia.com, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon the use of User's actions or inactions, including but not limited to any warranties, representations or undertakings or in relation to the non-fulfillment of any of its obligations under this Agreement or arising out of the User's infringement of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights.

This clause shall survive the expiry or termination of this Agreement.


Limitation of Liability

If “CITIZEN” should be found liable for loss or damage due to failure on the part of the “CITIZEN” or in any respect, regardless of whether advertiser/member's claim is based on contract, tort, strict liability or otherwise, the liability of the “CITIZEN” shall be to the extent of a pro-rata abatement to the total amount payable hereunder, to the extent that an error or omission affects the entire advertisement, and shall be limited to an amount equal to the value of the contract for the disputed Advertisement, or the sum of money paid by the Advertiser/member, whichever is less, as liquidated damages and not as Penalty, and this liability shall be exclusive and exhaustive as against the “CITIZEN” by the Advertiser/member. In no event shall the “CITIZEN” be liable for any loss of Advertiser/member's business, revenues, profits, the cost of the Advertiser/member of other Advertisements or any other special incidental consequential or punitive damages of any nature or for any claim against the Advertiser/member by any third party.

CITIZENSINDIA.COM HAS MADE THIS SERVICE AVAILABLE TO USE AS A MATTER OF CONVENIENCE. NOTWITHSTANDING PENAL PROVISIONS UNDER THE INDIAN CYBER LAWS OR ANY OTHER ALLIED LAWS ENACTED BY THE GOVERNMENT OF INDIA OR ANY OTHER STATUTORY, LEGISLATIVE OR REGULATORY AUTHORITY AUTHORIZED IN THIS REGARD FROM TIME TO TIME.

IN NO EVENT SHALL CITIZENSINDIA.COM BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR FOR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES FOR INTERRUPTED COMMUNICATIONS, DELAY, LOST DATA OR LOST PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF CITIZENSINDIA.COM HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES, OR INABILITY TO USE THE SITES/SERVICES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITES/SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE SITES/SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF CITIZENSINDIA.COM OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. CITIZENSINDIA.COM DOES NOT ENDORSE IN ANYWAY ANY ADVERTISERS/ CONTENTS OF ADVERTISERS ON ITS WEBPAGES.

THE CLAUSE SHALL SURVIVE THE TERMINATION OR EXPIRY OF THIS AGREEMENT.
